Terms of Use

Welcome to Spotness. These Terms of Use (“Terms”) govern your access to and use of the Spotness mobile application and website (collectively, the “Platform”). By creating an account or using the Platform, you agree to be bound by these Terms.

Please read these Terms carefully. If you do not agree, do not use the Platform.

1. About Spotness

Spotness is a technology platform that facilitates the discovery and booking of fitness classes, court sports (including padel and tennis), and slot-based venue activities (such as private gym sessions and personal training) in Lebanon.

Spotness is not a fitness provider. We do not own, operate, or manage any fitness venue, and we are not responsible for the quality, safety, or availability of services provided by venues or fitness professionals listed on the Platform. All fitness services are provided directly by independent venues and professionals. Spotness acts solely as an intermediary and is not a party to any agreement between you and a venue or professional.

Venues, professionals, and instructors listed on Spotness operate independently. They set their own schedules, pricing, and service standards. Spotness does not employ, supervise, or certify any venue or professional, and listing on the Platform does not constitute an endorsement of their qualifications or services.

2. Eligibility

To use the Platform, you must:

• Be at least 18 years of age
• Have the legal capacity to enter into a binding agreement under Lebanese law
• Provide accurate and complete registration information
• Not have been previously suspended or removed from the Platform

By creating an account, you represent and warrant that you meet these requirements.

2.1 Minors

Parents or legal guardians may register minors under their account for the purpose of booking fitness activities on their behalf. By registering a minor, you represent and warrant that:

• You are the minor's parent or legal guardian and have the authority to do so
• All information provided about the minor is accurate
• You accept these Terms and our Privacy Policy on the minor's behalf
• You assume full responsibility for the minor's use of services booked through the Platform
• You will supervise or ensure appropriate supervision of the minor during all activities

3. Account Registration and Security

3.1 Account Creation

You may create an account using your email address or through Google OAuth. You are responsible for providing accurate information and keeping your account details up to date.

3.2 Account Security

You are responsible for:

• Maintaining the confidentiality of your login credentials
• All activity that occurs under your account
• Notifying us immediately at support@spotness.fit if you suspect unauthorized access

You may not share your account with others or transfer it to another person.

3.3 Email Verification

You must verify your email address to activate your account. Unverified accounts may have limited functionality.

4. Bookings

4.1 Booking Confirmation

A booking is confirmed when you receive a confirmation notification through the Platform. A confirmed booking constitutes an agreement between you and the venue for the booked service. Spotness facilitates this agreement but is not a party to it.

4.2 Booking Types

The Platform supports three booking types:

• Class bookings: Group fitness classes scheduled by venues
• Court bookings: Time-slot reservations for court sports (padel, tennis)
• Slot bookings: Time-slot reservations for other venue activities (private gym sessions, personal training)

4.3 Availability

All bookings are subject to availability. Session capacity, court availability, and slot availability are managed by venues and may change without prior notice.

4.4 Platform Integrity

Bookings for services discovered through Spotness should be made through the Platform. Using contact information obtained via Spotness to arrange sessions outside the Platform undermines the service and may result in account suspension.

5. Cancellation and Refund Policy

5.1 Venue Cancellation Policies

Each venue sets its own cancellation policy, which is displayed at the time of booking. You are responsible for reviewing the applicable cancellation policy before confirming your booking. Common terms include:

• Free cancellation up to a specified number of hours before the session start time
• Late cancellation fee (a percentage of the booking price) for cancellations within the specified window
• No-show fee equal to the full booking price for failure to attend without cancellation

5.2 How to Cancel

You may cancel a booking through the Platform by navigating to Activities > select your booking > Cancel. Cancellations are effective when confirmed through the Platform.

5.3 Refunds

Refunds for eligible cancellations are processed to the original payment method within 5 to 10 business days. The refund amount is determined by the venue's cancellation policy in effect at the time of booking.

5.4 Venue-Initiated Cancellations

If a venue cancels a session, you will receive a full refund. Spotness is not liable for any inconvenience or additional costs resulting from venue-initiated cancellations.

5.5 Consumer Protection Rights

In accordance with Lebanese Consumer Protection Law No. 659/2005, you may have additional cancellation rights for certain purchases. These rights apply as required by law and are not limited by the venue cancellation policies described above.

6. Waitlist

If a session is full, you may join the waitlist. Joining a waitlist does not guarantee a booking. If a spot becomes available, you will be notified. Waitlist positions are assigned on a first-come, first-served basis.

7. Memberships

7.1 Subscription Terms

Membership subscriptions renew automatically at the end of each billing period (monthly or annually) unless you cancel before the renewal date.

7.2 Cancellation of Membership

You may cancel your membership at any time through Profile > Memberships. Cancellation takes effect at the end of the current billing period. No pro-rata refunds are provided for partial billing periods.

7.3 Membership Benefits

Membership benefits, including monthly credits and gym access, are subject to the terms of the specific membership tier you have selected. Spotness and participating venues reserve the right to modify membership tiers, pricing, and benefits with 30 days' notice to active subscribers.

7.4 Credits

Credits included with your membership or purchased through class packages are subject to the terms specified at the time of purchase, including:

• Validity period: Credits expire at the end of their validity period
• Scope: Credits may be restricted to specific venues, class categories, or class templates
• Non-transferability: Credits cannot be transferred to another user
• Expiration: Unused credits are non-refundable upon expiration

8. Packages

Class packages provide a set number of credits for use within a specified validity period. Packages are non-refundable after purchase unless otherwise required by law. Unused credits expire at the end of the package validity period.

9. Payments

9.1 Pricing

All prices are displayed in United States Dollars (USD) unless otherwise indicated by the venue. Prices are inclusive of applicable taxes unless explicitly stated otherwise. You are responsible for any currency conversion fees charged by your bank or payment provider.

9.2 Payment Processing

All payments are processed securely through our third-party payment processor. Spotness does not store your full payment card details. By making a purchase, you agree to the payment processor's terms of service in addition to these Terms.

9.3 Promo Codes

Promo codes are subject to the specific terms associated with each code, including validity periods, usage limits, and eligible purchases. Promo codes cannot be combined unless explicitly stated. Spotness reserves the right to void promo codes that are fraudulently obtained or used in violation of their terms.

9.4 VAT

Applicable Value Added Tax (VAT) is included in the displayed price or will be clearly indicated before you confirm your purchase, in accordance with Lebanese tax regulations.

10. Fitness Activity Risks and Liability

10.1 Assumption of Risk

You acknowledge that participation in fitness activities, including but not limited to group classes, court sports (padel, tennis), personal training, and gym sessions, involves inherent risks of physical injury. By booking and attending any activity through the Platform, you voluntarily assume all risks associated with your participation.

10.2 Your Responsibility

Before participating in any fitness activity, you are responsible for:

• Consulting with a medical professional if you have any health concerns
• Assessing your own fitness level and selecting activities appropriate for your abilities
• Following all safety instructions provided by the venue and its staff
• Informing the venue of any medical conditions that may affect your participation

10.3 Venue Waivers

Certain venues may require you to sign additional waivers or liability releases before participating in their activities. You may be required to accept these waivers through the Platform before your booking is confirmed. Your electronic signature on any venue waiver constitutes a legally binding agreement between you and the venue.

10.4 Release of Liability

To the fullest extent permitted by Lebanese law, you release and hold harmless Spotness, its officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from your participation in any fitness activity booked through the Platform. This release does not apply to claims arising from gross negligence or willful misconduct by Spotness.

11. User Content

11.1 Reviews and Ratings

You may submit reviews and ratings for sessions, venues, class templates, and professionals. By submitting content, you grant Spotness a non-exclusive, worldwide, royalty-free, perpetual license to use, display, reproduce, and distribute your content in connection with operating the Platform.

11.2 Content Standards

Your reviews and ratings must:

• Be based on genuine personal experiences
• Be accurate and not misleading
• Not contain defamatory, harassing, abusive, or threatening language
• Not be incentivized by any venue or professional
• Not contain personal information of third parties
• Not constitute spam, advertising, or promotional material

11.3 Content Moderation

Spotness reserves the right to remove or modify any content that violates these standards, without prior notice. Reviews may be marked as “verified” when associated with a confirmed booking.

12. Venue Administrators

12.1 Additional Responsibilities

If you are a venue administrator, you have elevated access to manage your venue's listings, sessions, bookings, resources, and client data. In addition to these Terms, you agree to:

• Provide accurate and current venue information (hours, pricing, amenities, class descriptions)
• Comply with all applicable Lebanese laws and regulations regarding the fitness services you offer
• Manage bookings and cancellations in good faith
• Respond to user inquiries in a timely manner
• Handle consumer personal data in accordance with our Privacy Policy and applicable data protection laws

12.2 Venue Client Profiles

Venue administrators may create client profiles for individuals who book directly through the venue (walk-in or offline clients). These profiles may later be linked to Spotness user accounts with the individual's consent. Venue administrators are responsible for obtaining appropriate consent before creating such profiles.

12.3 Venue Liability

Venues and their administrators are solely responsible for the fitness services they provide, including safety, instructor qualifications, facility conditions, and compliance with applicable regulations. Spotness is not responsible for the actions or omissions of any venue or its staff.

13. Prohibited Conduct

You agree not to:

• Use the Platform for any unlawful purpose
• Provide false or misleading information during registration or booking
• Impersonate another person or entity
• Attempt to gain unauthorized access to other users' accounts or Platform systems
• Interfere with or disrupt the Platform's operation
• Reverse engineer, decompile, or disassemble any part of the Platform
• Scrape, crawl, or harvest data from the Platform by automated means
• Use the Platform to send unsolicited communications
• Circumvent any security or access restrictions
• Use the Platform to compete with Spotness
• Share or distribute harmful, inappropriate, or illegal content

14. User Safety

Spotness takes user safety seriously. If you experience or witness unsafe behavior, harassment, or misconduct during an activity booked through the Platform, please contact us at support@spotness.fit. We may investigate reports and take appropriate action, including issuing warnings, suspending accounts, or cooperating with authorities.

Any personal information you share with venues, professionals, or other users outside of the Platform is at your own discretion and risk. Spotness is not responsible for interactions that occur outside the Platform.

15. Intellectual Property

15.1 Spotness Property

All intellectual property in the Platform, including the application, website, software, design, logos, trademarks, and content (excluding user-generated content), is owned by Spotness or its licensors.

15.2 Limited License

We grant you a limited, non-exclusive, non-transferable, revocable license to use the Platform for personal, non-commercial purposes in accordance with these Terms. This license does not include the right to:

• Reproduce or redistribute venue or professional listings outside the Platform
• Use Spotness trademarks or branding without written permission
• Create derivative works based on the Platform

16. Notifications and Communications

16.1 Transactional Communications

By creating an account, you consent to receive transactional communications related to your use of the Platform, including booking confirmations, cancellation notices, payment receipts, and security alerts. These communications are essential to the service and cannot be disabled while your account is active.

16.2 Marketing Communications

We may send marketing communications about new features, venues, or promotions only with your explicit consent. You may opt out at any time through your notification settings or by using the unsubscribe link in any marketing email.

16.3 Venue Announcements

Venues may publish announcements visible to their users through the Platform. These announcements are the sole responsibility of the venue.

17. Limitation of Liability

17.1 Maximum Liability

To the maximum extent permitted by Lebanese law, Spotness's total aggregate liability for any claims arising from or related to your use of the Platform shall not exceed the greater of:

• The total fees paid by you to Spotness in the 12 months preceding the claim, or
• One hundred United States Dollars (USD 100)

17.2 Exclusions

Spotness shall not be liable for:

• Indirect, incidental, special, consequential, or punitive damages
• Loss of profits, data, or business opportunities
• Physical injury sustained during fitness activities booked through the Platform
• Actions or omissions of venues, professionals, or other users
• Service interruptions, system failures, or circumstances beyond our reasonable control
• Inaccurate venue information, scheduling errors, or overbooking by venues
• Currency fluctuations or exchange rate differences

17.3 Consumer Protection

Nothing in these Terms excludes or limits liability that cannot be lawfully excluded under Lebanese law, including liability for gross negligence or willful misconduct.

18. Indemnification

You agree to indemnify and hold harmless Spotness, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable legal fees) arising from:

• Your violation of these Terms
• Your participation in fitness activities
• Your user-generated content
• Your violation of any applicable law or third-party right
• If you are a venue administrator, the fitness services provided by your venue

19. Dispute Resolution

19.1 Informal Resolution

Before initiating any formal proceedings, you agree to contact us at support@spotness.fit to attempt to resolve the dispute informally. We will endeavor to resolve the matter within 30 days.

19.2 Mediation

If informal resolution is unsuccessful, either party may initiate mediation through a mutually agreed mediator in Beirut, Lebanon. The costs of mediation shall be shared equally between the parties.

19.3 Jurisdiction

Any dispute not resolved through informal resolution or mediation shall be submitted to the exclusive jurisdiction of the competent courts of Beirut, Lebanon.

20. Service Availability and Modifications

20.1 Availability

We strive to maintain the Platform's availability but do not guarantee uninterrupted service. The Platform may be temporarily unavailable due to maintenance, updates, or circumstances beyond our control.

20.2 Modifications

Spotness reserves the right to modify, suspend, or discontinue any feature of the Platform at any time. We will provide reasonable notice of material changes that affect your existing bookings or active memberships.

21. Account Suspension and Termination

21.1 By You

You may delete your account at any time through Profile > Settings > Delete Account. Upon deletion:

• Active bookings may be cancelled subject to the applicable cancellation policy
• Unused credits and membership benefits are forfeited unless otherwise required by law
• Your personal data will be handled in accordance with our Privacy Policy

21.2 By Spotness

We may suspend or terminate your account if:

• You violate these Terms
• We detect fraudulent or suspicious activity
• You engage in conduct harmful to other users, venues, or the Platform
• Required by law

We will provide notice of suspension or termination where reasonably practicable. Upon termination by Spotness for reasons other than your breach, we will refund any unused prepaid credits on a pro-rata basis.

22. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes at least 30 days before they take effect, via email or in-app notification.

Your continued use of the Platform after the effective date of the updated Terms constitutes your acceptance. If you do not agree to the updated Terms, you must stop using the Platform and may request account deletion.

23. General Provisions

23.1 Entire Agreement

These Terms, together with our Privacy Policy and any venue-specific waivers you accept, constitute the entire agreement between you and Spotness regarding your use of the Platform.

23.2 Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.

23.3 Waiver

Our failure to enforce any provision of these Terms does not constitute a waiver of that provision or any other provision.

23.4 Assignment

You may not assign your rights or obligations under these Terms without our prior written consent. Spotness may assign its rights and obligations without restriction.

23.5 Language

These Terms are drafted in English. If these Terms are translated into Arabic or any other language, the English version shall prevail in the event of any conflict.

24. Governing Law

These Terms are governed by the laws of the Republic of Lebanon, regardless of conflict-of-laws principles.
